Terms and Conditions – Chorus API

1.
General

These terms and conditions apply to all offers, services, and products provided by Chorus API, including but not limited to API access, data exports, software tools, and custom integrations. By accepting a quote or using our services, the client agrees to these terms.

2.
Services

Chorus API provides software and data solutions, including API integrations and data export services. Deliverables and scope are specified per project or quote. All services are provided on a best-effort basis, unless explicitly agreed otherwise in writing.

3.
Pricing & Payment
  • All prices are in euros (€) and exclude VAT unless stated otherwise.

  • Services provided to clients outside the EU may be VAT-exempt under applicable EU tax rules.

  • Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.

  • Late payments may result in suspended access to services or delay in delivery.

4.
Delivery
  • Delivery times are estimates and may vary depending on project complexity or external dependencies. Chorus API will make reasonable efforts to meet agreed deadlines.

  • Deliverables (e.g. exports, scripts, or integrations) are delivered digitally unless otherwise agreed.

  • Urgent or expedited delivery may be subject to additional fees.

5.
Usage & Licensing
  • API access and software tools are licensed for use by the purchasing client only, unless explicitly transferred or sublicensed in writing.

  • Clients may not resell, redistribute, or reverse-engineer any part of the provided solutions without prior written permission.

6.
Confidentiality & Data Handling
  • All client data will be treated as confidential and will only be used to perform the agreed services.

  • Chorus API will not share, store, or analyze client data beyond what is required for service delivery.

  • It is the client’s responsibility to ensure that the use and export of data comply with applicable regulations (including but not limited to GDPR).

7.
Liability
  • Chorus API is not liable for indirect, consequential, or incidental damages, including loss of data or business interruption.

  • Any direct liability is limited to the total amount paid by the client for the specific service in question.

8.
Support & Maintenance
  • Standard support is available during business hours (CET), unless otherwise agreed.

  • Maintenance, updates, or bug fixes are only included if specified in the project scope or a separate agreement.

9.
Termination
  • Either party may terminate the agreement with 14 days’ written notice.

  • In the event of termination, completed work up to that point will be invoiced. No refunds are given for completed or partially delivered services unless otherwise agreed.

10.
Governing Law
  • These terms are governed by Dutch law.

  • Any disputes will be settled before the competent court in Amsterdam, the Netherlands.
